1. Scope

These terms govern the use of prailight.com and every quotation, sale and shipment of products by Prailight Lighting Co., Ltd. ("Prailight", "we", "us") to business customers ("Buyer"). By placing an order or accepting a quotation, the Buyer accepts these terms unless both parties sign a separate agreement that expressly overrides them.

2. Quotations and orders

• All prices are quoted in the currency stated on the quotation, based on EXW / FOB / CIF / DDP as agreed, and remain valid for 30 days unless stated otherwise.
• Prices exclude applicable VAT, import duties and destination charges unless explicitly included.
• An order is binding on Prailight only after written order confirmation. Website content is an invitation to negotiate, not a public offer; no consumer sales are made through this site.

3. Minimum order and lead time

• The minimum order quantity depends on the design of each model; low-volume trial orders are supported, and mixed-container rules are stated on each quotation.
• Sample lead time is normally 3–7 working days; bulk production is normally 25–35 days after deposit and artwork approval, subject to order size.

4. Payment

Unless agreed otherwise: 30% deposit by T/T on order confirmation, 70% balance against copy of B/L. L/C at sight is accepted for container orders; trial orders may be settled by PayPal or credit card with the handling fee added.

5. Quality, certification and warranty

• Products are supplied with the CE / RoHS / ETL or other certificates stated on the specification sheet for the destination market.
• Warranty is 2–5 years depending on product family, covering material and manufacturing defects under normal use. Warranty does not cover improper installation, surge damage outside specification, or unauthorised modification.
• Claims must be reported within 30 days of arrival with photos, batch numbers and, where reasonable, samples for inspection.

6. Delivery, title and risk

Delivery terms follow the agreed Incoterms 2020 rule. Title passes per the agreed Incoterms rule and payment status. Stated delivery dates are good-faith estimates; delays caused by customs, carriers, force majeure or Buyer-side changes do not constitute grounds for penalty beyond what is agreed in writing.

7. Intellectual property

Designs, tooling and moulds developed by Prailight for a Buyer become exclusive to that Buyer once tooling cost is fully paid; otherwise Prailight retains ownership. The Buyer warrants that designs or brands it supplies do not infringe third-party rights, and indemnifies Prailight against claims arising from such materials.

8. Confidentiality

Each party keeps the other's commercial and technical information confidential for five years after the last order, unless the information is public or independently developed.

9. Governing law and disputes

These terms are governed by the laws of the People's Republic of China, excluding its conflict-of-law rules. Disputes shall first be settled amicably; failing that, they shall be submitted to arbitration in Shenzhen under the CIETAC rules, with the award final and binding.
